1. Parties and Acceptance

These Terms and Conditions of Use (the "Terms") form a binding agreement between Proads Solutions LTD, a company registered in the United Kingdom ("we", "us" or "our"), and you, the person accessing or using carecompare360.com (the "Website").

By accessing or using the Website, you confirm that you have read, understood and accepted these Terms, that you are at least 18 years old and that you have the legal capacity to enter into this agreement. If you do not agree, do not use the Website.

Our Privacy Policy and Cookie Policy are incorporated into these Terms by reference.

2. What This Website Is and Is Not

2.1 What We Do

The Website publishes advertising-supported editorial content about general health, men's health and related topics, including reviews and comparisons of third-party telehealth providers and pharmacies, and provides links to those third parties' websites.

2.2 What We Do Not Do

We do not practise medicine, operate a pharmacy or provide telehealth services. We do not sell, prescribe, dispense or ship medication, process payments, or make any clinical decision about you. We do not collect personal information from you: the Website has no forms, quizzes, calculators, accounts or newsletter.

2.3 How Your Visit Works

When you click a link to a partner, you leave the Website and arrive on that partner's own website. Any consultation, prescription, purchase or other transaction you enter into there is solely between you and that partner, under the partner's own terms and privacy policy.

All content on the Website is provided for general informational purposes only. It is not medical advice and is not a substitute for professional diagnosis, advice or treatment.

Your use of the Website does not create a physician-patient, pharmacist-patient or any other healthcare relationship between you and us.

4. Prescription Medications and Compounded Products

4.1 Prescription Required

Many of the medications discussed on the Website, including treatments for erectile dysfunction, hair loss, low testosterone and weight management, are available only with a valid prescription from a licensed healthcare provider.

4.2 Prescribing Decisions

Whether a medication is prescribed to you is solely the decision of the licensed provider who evaluates you. Clicking through to a partner does not guarantee that you will be found eligible for, or receive, any treatment.

4.3 Compounded Products

Prices shown on the Website are for comparison only. They come from third parties, may change at any time and may not include every fee. 5. Editorial Content, Ratings and Comparisons

5.1 Nature of Ratings

Ratings, rankings and scores on the Website are our editorial opinions, based on the criteria we describe on the Website. They are not endorsements, guarantees or verified claims about the safety, quality or effectiveness of any provider, product or treatment.

5.2 Not Exhaustive

Our comparisons do not cover every provider or product available on the market, and the selection of providers we feature reflects, in part, our commercial relationships.

5.3 Accuracy

We try to keep our content accurate and current, but providers change their offers, prices and policies without notice to us. We do not guarantee that any information is complete, accurate or up to date.

5.4 Editorial Independence

Partners cannot pay to change their rating or to change what we write about them.

5.5 No User Reviews

The Website does not accept or publish user reviews, comments or testimonials.

6. Advertising Compensation

The Website is supported by advertising. We may receive fees from partners when you click a link to their website or complete a qualifying action there.

This compensation may influence which providers appear on the Website and the order and placement in which they appear. It does not influence our editorial assessment of a provider, and it does not change the price you pay.

7. Trademarks

The Website is not affiliated with, sponsored by or endorsed by any pharmaceutical manufacturer, telehealth provider or pharmacy mentioned on it, unless we expressly say so. All product names, brand names, logos and trademarks referred to on the Website are the property of their respective owners and are used for identification purposes only.

8. Eligibility

The Website is intended for adults aged 18 or older who are located in the United States. It is not directed to children.

We make no representation that the Website or its content is appropriate or available for use outside the United States.

10. Third-Party Websites and Services

10.1 Leaving the Website

When you follow a link to a third-party website, you leave the Website and these Terms no longer apply to your activity on that website.

10.2 No Control

We do not control, operate or verify third-party providers, their clinicians, their pharmacies or the products and services they offer, and we are not responsible for them.

10.3 Your Relationship with Providers

Any dispute about a consultation, prescription, product, delivery, subscription, billing or refund must be resolved directly with the provider concerned.

10.4 Information Passed to Partners

When you click a partner link, a random click identifier may be added to the link so the partner can attribute your visit to us. No other personal information is passed to partners, as described in our Privacy Policy.

11. Intellectual Property

The Website and all of its content, including text, graphics, logos, design and software, are owned by Proads Solutions LTD or its licensors and are protected by intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable licence to view the Website for your personal, non-commercial use. All other rights are reserved.

12. Disclaimers of Warranty

The Website and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

We do not warrant that the Website will be available, uninterrupted or error-free, or that its content is accurate, complete or suitable for you. We make no warranty about the pricing, eligibility criteria, services or outcomes of any third-party provider.

13. Limitation of Liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, data or goodwill, arising out of or relating to your use of the Website.

We are not liable for any injury, illness, adverse event or other harm arising from any consultation, prescription, medication, product or service provided by a third party.

Our total aggregate liability to you for all claims arising out of or relating to the Website or these Terms will not exceed USD 100.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or under consumer rights that cannot be waived.

14. Dispute Resolution

14.1 Which Rules Apply

14.2 Informal Resolution

Before starting arbitration, you agree to send us a written notice describing your dispute to legal@carecompare360.com. We will try to resolve the dispute informally within 60 days of receiving your notice. Any applicable limitation period is tolled during that 60-day period.

14.3 Agreement to Arbitrate

If you live in the United States, you and we agree that any dispute, claim or controversy arising out of or relating to the Website or these Terms, under any legal theory, will be resolved by binding individual arbitration. This agreement is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1 et seq.

14.4 Class Action Waiver

You and we may bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims of more than one person. You and we each waive the right to a jury trial. If this class action waiver is found unenforceable, the agreement to arbitrate in Section 14.3 will be severed for that claim, which will proceed in court.

14.5 Exceptions

Either party may bring an individual claim in small claims court, or seek injunctive relief in court for infringement of intellectual property rights or unauthorized access to the Website. Claims that cannot be arbitrated by law are also excluded.

14.6 Arbitration Procedure

Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, available at adr.org, before a single arbitrator. Any hearing will take place in the county where you live, unless both parties agree otherwise. For claims under USD 25,000, the arbitration may be conducted on the basis of documents only, or by telephone or video conference.

14.7 Costs

Payment of filing, administration and arbitrator fees will be governed by the AAA rules. For claims of USD 10,000 or less, we will reimburse your filing fee unless the arbitrator finds your claim frivolous. Otherwise, each party bears its own attorneys' fees and costs, unless the law or the arbitrator provides otherwise.

14.8 Right to Opt Out

You may opt out of this arbitration agreement by emailing legal@carecompare360.com with the subject line "Arbitration Opt-Out" within 30 days of first using the Website. Your email must include your name and a statement that you are opting out.

14.9 Severability and Survival

If any part of this Section 14 is found unenforceable, the remainder will continue to apply, except as stated in Section 14.4. This Section 14 survives the termination of these Terms.

14.10 Users Outside the United States

If you live outside the United States, these Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory consumer protections of the country where you live. Sections 14.2 to 14.9 do not apply to you.

15. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Proads Solutions LTD and its directors, officers, employees and agents from any claim, loss, liability or expense (including reasonable legal fees) arising out of your use or misuse of the Website, your breach of these Terms or your violation of any law or the rights of a third party.

16. Suspension and Termination

We may suspend or terminate your access to the Website at any time, without notice, if we reasonably believe you have breached these Terms, engaged in fraud or abuse, or if we are required to do so by law.

Sections 3, 4 and 11 to 15 survive any suspension or termination.

17. Privacy

The Website has no forms, and we do not collect your name, contact details or health information. We do automatically collect technical data, such as your IP address, device identifiers and click data, as described in our Privacy Policy.

Some disclosures of that data to advertising partners may be considered a "sale" or "sharing" of personal information under California and other state laws. You can opt out on our Your Privacy Choices page or by enabling a Global Privacy Control signal in your browser.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will change the "Last Updated" date at the top of this page, and we will give prominent notice of any material change on the Website.

Changes to Section 14 will not apply to any dispute of which we had notice before the change took effect. Your continued use of the Website after changes are posted means you accept the updated Terms.

19. General Provisions

• Entire agreement. These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and us about the Website.
• Severability. If any provision is found invalid or unenforceable, the remaining provisions remain in full force.
• No waiver. A failure to enforce any provision is not a waiver of it. Any waiver must be in writing.
• Assignment. You may not assign your rights under these Terms. We may assign ours without restriction.
• Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
• Language. These Terms are written in English, and the English version controls.
• No third-party beneficiaries. These Terms do not give any rights to anyone other than you and us.
